Welcome to Topia. These Terms of Service (the "Terms") are a binding legal agreement between you and Topia, Inc., a Delaware corporation ("Topia," "we," "us," or "our"), and govern your access to and use of the Topia website, applications, and related services (collectively, the "Services").
By accessing or using the Services — including by creating an account, connecting a wallet, or otherwise interacting with the platform — you agree to be bound by these Terms and by our Privacy Policy and Cookie Policy. If you do not agree, do not use the Services.
Please read carefully. Section 14 contains a binding arbitration agreement and class-action waiver that affect how disputes are resolved.
1. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Services. By using the Services, you represent and warrant that you meet this requirement, that you are not located in a country subject to a U.S. government embargo, and that you are not on any U.S. government list of prohibited or restricted parties.
2. Your Account
To access certain features you must create an account. We use Privy to provide authentication and embedded or connected wallet functionality. By creating an account you agree to:
- Provide accurate and complete information and keep it up to date;
- Maintain the security of your login credentials, wallet, private keys, and recovery methods;
- Accept responsibility for all activity that occurs under your account or wallet; and
- Notify us promptly at contact@topia.vision of any unauthorized use.
You are solely responsible for safeguarding your wallet and private keys. We do not custody your private keys and cannot recover them, reverse blockchain transactions, or restore lost funds.
3. The Services
Topia is a platform for artists, audiences, and communities to create, explore, publish, and sustain collaborative "worlds," events, profiles, and related cultural content. The Services may include creator tools, event ticketing, grants and resources, social features (such as follows, reactions, and guestbooks), and payment functionality. We may add, change, suspend, or remove features at any time.
4. User Content
"User Content" means anything you submit, upload, publish, or display through the Services — including worlds, events, profiles, images, text, links, and messages.
You retain ownership of your User Content. By submitting User Content, you grant Topia a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for formatting and display), publish, publicly perform, publicly display, and distribute that User Content solely for the purposes of operating, promoting, and improving the Services. This license ends when you delete your User Content, except to the extent it has been shared with others who have not deleted it, or where retention is required by law.
You represent and warrant that you own or have the necessary rights to your User Content and that it does not infringe or violate the rights of any third party.
5. Acceptable Use
You agree not to:
- Violate any law or regulation, or infringe the intellectual property, privacy, or other rights of others;
- Post content that is unlawful, defamatory, harassing, hateful, fraudulent, sexually exploitative, or that promotes violence;
- Upload viruses or malicious code, or attempt to gain unauthorized access to the Services or related systems;
- Scrape, crawl, or harvest data except as permitted by our published interfaces;
- Use the Services to launder money, finance terrorism, evade sanctions, or facilitate any illegal financial activity;
- Interfere with or disrupt the integrity or performance of the Services; or
- Impersonate any person or misrepresent your affiliation.
We may investigate and take any action we deem appropriate, including removing content and suspending or terminating accounts.
6. Payments, Tickets & Digital Assets
Some features let you buy or sell tickets and other items. Payments may be processed in fiat currency through Square or in cryptocurrency (such as USDC on the Base network). By making a transaction you agree to the following:
- Pricing & fees. Prices, payment-processor fees, and applicable taxes are shown at checkout. Blockchain transactions may also incur network ("gas") fees that we do not control or receive.
- Third-party processors. Card and fiat payments are handled by Square and are subject to Square's terms. Crypto transactions are settled on public blockchains we do not operate.
- Finality. Blockchain transactions are generally irreversible. Once submitted, a crypto payment cannot be cancelled or refunded by us.
- Refunds. Refunds for tickets and events are governed by the policy set by the relevant event organizer or creator, and by applicable law. Unless otherwise stated, all sales are final.
- Taxes. You are responsible for determining and paying any taxes that apply to your transactions.
- No financial advice. Nothing on the Services is investment, financial, legal, or tax advice. Digital assets are volatile and you transact at your own risk.
If you sell tickets or collect payments as a creator or organizer, you are responsible for delivering what you offer, for honoring your stated refund policy, and for complying with all laws that apply to your activity.
7. Creators & Organizers
If you create worlds, list events, or otherwise offer content or experiences through the Services, you are solely responsible for that content and for your interactions with other users. Topia is a platform and is not a party to transactions or agreements between creators, organizers, and their audiences.
8. Intellectual Property
The Services, including all software, design, text, graphics, and the "Topia" name and logos, are owned by Topia or its licensors and are protected by intellectual-property laws. Except for User Content, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. You may not copy, modify, distribute, reverse engineer, or create derivative works from the Services except as expressly permitted.
9. Third-Party Services & Links
The Services rely on and link to third parties — including Privy (authentication and wallets), Square (payments), blockchain networks, hosting and storage providers, and others. We are not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their own terms.
10. Copyright / DMCA
If you believe content on the Services infringes your copyright, send a notice to contact@topia.vision including: (a) identification of the work; (b) identification of the allegedly infringing material and its location; (c) your contact information; (d) a statement of good-faith belief that the use is unauthorized; (e) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act; and (f) your physical or electronic signature. We may remove infringing material and terminate repeat infringers.
11. Termination
You may stop using the Services at any time. We may suspend or terminate your access, with or without notice, if we believe you have violated these Terms, created risk or legal exposure for us, or for any other reason in our reasonable discretion. Provisions that by their nature should survive termination will survive.
12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY BLOCKCHAIN OR THIRD-PARTY NETWORK WILL FUNCTION AS EXPECTED.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPIA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR DIGITAL ASSETS, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TOPIA IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
Informal resolution. Before filing a claim, you agree to contact us at contact@topia.vision and attempt to resolve the dispute informally for at least 30 days.
Binding arbitration. Except for claims that may be brought in small-claims court, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered under the rules of a recognized arbitration provider, rather than in court. You and Topia waive the right to a jury trial and to participate in a class action. You may opt out of this arbitration agreement by emailing us within 30 days of first accepting these Terms.
15. Indemnification
You agree to indemnify and hold harmless Topia and its affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your User Content, your use of the Services, or your violation of these Terms or any law or third-party right.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance.
